Terms & Conditions

These Terms & Conditions ("Terms") govern your use of industrialbox.online and related services (the "Service") provided by Solutions Pneumatix inc., operating as Industrial Box / La Boîte Industrielle ("Industrial Box", "we", "us"). By using the Service you agree to these Terms.

1. The Service

Industrial Box provides sourcing intelligence, supplier discovery, and quote-request tools for industrial buyers, together with paid credits and vendor subscription plans.

2. Eligibility and account

You must be of legal age and, when acting for an organisation, have authority to bind it. You are responsible for the confidentiality of your credentials and for activity under your account. Keep your account information accurate and up to date.

3. Acceptable use

You must not, and must not permit others to:

• Use the Service unlawfully or for fraud, spam, or misrepresentation;
• Infringe intellectual property, privacy, or other rights of third parties;
• Interfere with the security or integrity of the Service (malware, probing, scraping, circumventing rate limits or technical restrictions);
• Reverse engineer, resell, or redistribute the Service or its content.

4. Licence

Subject to these Terms we grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan.

5. Intellectual property

Industrial Box and its licensors retain all rights, title and interest in and to the Service, including software, documentation, and branding. You retain rights to content you submit, and grant us a limited licence to host and process it solely to provide the Service.

6. Payments, subscriptions and billing

Our order process is conducted by our online reseller Stripe. Stripe is the Merchant of Record for all our orders. Stripe provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by the Stripe Checkout Buyer Terms. See our Refund Policy for how to request a refund.

7. AI-generated content

Portions of the Service use generative AI to summarize supplier information and produce sourcing reports. Outputs may be inaccurate or incomplete and are not a substitute for independent verification or professional advice. You are responsible for your prompts, for verifying accuracy before relying on results, and for having the necessary rights to any content you submit. Do not use the Service to produce illegal content, defamation, deepfakes, malware, or to jailbreak the underlying models. We may filter, restrict, or remove content and suspend accounts for repeated or serious violations.

8. Service levels and warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose, and we do not guarantee uninterrupted or error-free operation.

9. Liability

To the extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the fees you paid to us (via Stripe) in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, or loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination your right to use the Service ends; we will retain or delete your data as described in our Privacy Notice.

12. Governing law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Disputes are subject to the exclusive jurisdiction of the courts of the district of Montréal, Québec.

13. Changes

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
